NeoVolta and Infinite Grid Capital: What the Relationship Actually Includes

Short answer: NeoVolta’s relationship with Infinite Grid Capital is broader than a simple battery sale. SEC filings show that IGC has acted as an investor, an advisor and offtake originator, while also entering commercial arrangements tied to NeoVolta’s utility-scale BESS pipeline. That makes the relationship worth following separately from the Pendergrass factory ramp.

On October 16, 2026, JHOTAS-LAB published NeoVolta Pendergrass Ramp: What Has to Happen Before Revenue Scales?. That article focuses on manufacturing execution. This follow-up isolates a different question: what exactly does Infinite Grid Capital do in the NeoVolta story, and how much of the announced business is actually binding?

Infinite Grid Capital Is More Than a Prospective Customer

Publication and evidence note (October 17, 2026): The related Pendergrass ramp article was published on October 16; the original draft wording calling it scheduled is outdated. The nonbinding $200 million LOI and the $53 million production-capacity reservation are not recognized revenue. Track subsequent binding purchase orders and acceptance separately; also review the large-load capacity-contract guide.

A recent NeoVolta prospectus gives more detail on the relationship. On May 12, 2026, NeoVolta entered into a consulting services agreement with Infinite Grid Capital. Under that agreement, IGC provides strategic advisory and offtake-origination services for NeoVolta Power, the joint venture operating the Pendergrass, Georgia manufacturing business.

Those services include identifying and evaluating potential offtake counterparties, helping structure arrangements and assisting with negotiations for term sheets, letters of intent and definitive offtake agreements.

NeoVolta issued IGC 500,000 common shares as a signing fee for the consulting agreement. The same SEC filing also shows that IGC-related holdings included shares held through Infinite Grid Capital Fund I.

The important point is not the share count by itself. It is that IGC’s role spans capital, advisory work and commercial origination. That is a different relationship from a customer that simply places a purchase order and receives equipment.

The $200 Million LOI and the $53 Million Reservation Are Not the Same Thing

NeoVolta first announced a non-binding letter of intent with IGC for approximately 1.1 GWh of potential utility-scale BESS deployments. The company described that framework as representing roughly $200 million of potential project value.

That $200 million figure should not be treated as backlog or recognized revenue. A non-binding LOI describes an intended commercial path, not a completed sale.

The September capacity reservation is more concrete. NeoVolta said IGC reserved approximately $53 million of Pendergrass manufacturing capacity for Northern Ontario Edge AI data-center projects planned for calendar 2027.

Even that $53 million should be read carefully. A capacity reservation is stronger than a general expression of interest, but NeoVolta still has to manufacture, deliver and satisfy the commercial terms of the projects before the full amount can appear as revenue.

This distinction is especially important for storage projects connected to data centers. Our data-center BESS guide explains why project timing can still depend on interconnection, site construction and the broader electrical system even when the battery supplier has secured manufacturing capacity.

Why the October SEC Filing Matters

The October filing does not announce a new BESS order. Its value is that it clarifies the structure behind earlier announcements.

For an outside reader, a headline such as “$200 million utility-scale framework” can look like a normal customer order. The filing shows that IGC is also participating in NeoVolta’s business development and capital structure.

That does not make the commercial opportunity less real. It simply means the relationship should be evaluated as a broader strategic arrangement rather than as a single independent end-customer contract.

For Energy Markets, this is exactly the kind of distinction worth recording. Potential deployments, capacity reservations and delivered revenue are three different stages.

What Would Turn the IGC Relationship Into Stronger Business Evidence?

The first step would be definitive purchase or offtake agreements tied to specific projects. The second would be production allocations that move from reserved capacity into manufactured systems.

The third would be shipment and customer acceptance. At that point, the relationship begins to show up as operating revenue rather than strategic pipeline.

The fourth would be additional counterparties that were originated through IGC but are not economically dependent on the same relationship. That would show whether the advisory and origination model can expand NeoVolta’s customer base beyond one channel.

This also connects to NeoVolta’s SK On relationship, but the two should not be mixed together. Our earlier SK On energy-storage article covers the cell-supply side. IGC is relevant mainly to project origination, capacity reservation and commercial conversion.

What Matters Next

The next useful IGC update should come from a definitive offtake agreement, a named project moving into production, a delivery milestone or a filing that clarifies how much of the reserved capacity has become committed revenue.

If none of those changes, repeating the $200 million LOI or the $53 million reservation would add little new information. The relationship is already documented; the next question is conversion.
